Registration procedure:

Residents (Kazakhstan legal entities)

1) Submit an application to the registration authority in the form established by the Ministry of Justice of the Republic of Kazakhstan:

- Application form to be signed by a person, duly authorized by a legal entity that establishes a subsidiary (representative office), and sealed by a legal entity’s stamp.

2) A receipt or other document confirming payment of the subsidiary (representative office) registration fee.

For subsidiaries (representative offices) of legal entities that are not private entrepreneurs, and for joint-stock companies:

1) Subsidiary (Representative office) Regulations in 3 copies in Kazakh and Russian languages, approved by a legal entity.

2) copies of the Charter (Regulations).

3) Power of attorney of a legal entity (except for public and religious associations), issued to the head of the Subsidiary (Representative office).

Non-residents (foreign legal entities)

1) Submit an application to the registration authority in the form established by the Ministry of Justice of the Republic of Kazakhstan:

- Application form to be signed by a person, duly authorized by a legal entity that establishes a subsidiary (representative office), and sealed by a legal entity’s stamp.

2) A receipt or other document confirming payment of the subsidiary (representative office) registration fee.

3) A legalized extract from the trade register, foundation documents or other legalized document of a foreign legal entity, confirming that a foreign legal entity to establish a subsidiary (representative office) is a legal entity under the laws of a foreign country.

4) A document confirming tax registration in the country of incorporation of a foreign legal entity and indicating the tax registration number (or its equivalent).

* Documents of a foreign legal entity that establishes a Subsidiary (Representative office) shall be submitted with a notarized translation into Kazakh and Russian languages.

Document confirming the registration of a Subsidiary (Representative office)

- Subsidiary (Representative office) Record Registration Certificate.

* Availability of the Subsidiary (Representative office) record registration certificate shall not serve as a basis for the commencement of activities, requiring a license in accordance with the laws of the Republic of Kazakhstan. Legal capacity of a legal entity in the field of licensed activities shall arise from the receipt of a relevant license and discontinue from the license termination date or license invalidation in the procedure established by legislative acts of the Republic of Kazakhstan.

Non-residents in Kazakhstan can open a bank account in a bank according to the bank account agreement.

1) Necessary documents to open an account for a legal entity (non-residents):

  • document with samples of signature and a seal;
  • copy of a certificate of registration of a non-resident as a taxpayer in Kazakhstan;
  • for branches/representative offices – a document (or it’s copy) that proves registration (re-registration) with a regulation in Russian or Kazakh of the relevant branch and a notarized copy of power of attorney issued by a legal entity-non-resident to the chief of the branch/representative office;
  • original or notarized copy of an extract document from the trade register or a similar document that shows registration information of an entity (registration authority, number, date), legalized/with an apostil if needed;
  • copy of a passport/ID card.

2) Necessary documents for a person (non-resident):

  • copy of a certificate of registration of a non-resident as a taxpayer;
  • copy of a passport/ID card.

Number of the second tier banks in Kazakhstan – 38, of which 17 are with participation of non-residents (list of banks).

According to the Law of RK "On Investments" an investor can get:

1. Incentives for projects (including priority investment projects):

  • Exemption from customs duties on the import of equipment, its components and spare parts, raw materials and supplies.
  • Kind grants of not more than 30% of the total investment in fixed assets (land plots, buildings, machinery and equipment, computer equipment, measuring and control devices and equipment, vehicles, production and farm(agricultural implements).

2. Incentives for priority investment projects*

  • Tax exemptions: Corporate income tax – 0% for 10 years, Land-tax – 0% for 10 years, Property tax – 0%for 8 years.
  • Investment subsidies up to 30% for construction and installation works and procurement of equipment after commissioning.
  • Guarantee of stability of the legislation: (tax legislation and in the sphere of attraction foreign labor)
  • State support of investments by authorized body established by the Government of the Republic of Kazakhstan, which interacts with investors on the principle of "one stop shop“.
  • Assistance to investors in providing the guaranteed order from the interested legal entities according to the investment contract signed between the authorized body and the investor.


*Criteria for priority investment projects:

  • matching the List of Priority Activities(approved by the Government)
  • newly created juridical person with investments of more than 2 million MCI (MCI - monthly index, approved by the Law on the national budget)

Law of RK "On Investments"also provides the Institute of "Investment Ombudsman" that:

  • considers appeals of investors on issues arising during the implementation of investment activity in the Republic of Kazakhstan, and make recommendations to resolve them, including interacting with public authorities;
  • assists investors in emerging issues in court and pre-trial procedures;
  • formulates and submits recommendations on improvement of legislation of the Republic of Kazakhstan to the Government of the Republic of Kazakhstan
